SUBSIDIARY AGREEMENT OF PARTICIPATION IN THE 1394 TRADE ASSOCIATION AS A NON-PAYING MEMBER

This agreement is for a company that is a wholly owned subsidiary of a 1394 Trade Association Member and wants to participate in the 1394 TA as a non-paying member.

  1. The parent company's dues must be current or the Subsidiary may not participate in any Trade Association activities. This includes attending working group meetings, participating in the Trade Association reflectors and the "member's only" section of the Trade Association web site.

  2. The Parent company is the official member of the Trade Association, therefore, the subsidiary's company name will not be used in Trade Association activities; for example: membership lists, publications, meeting badges and trade shows. They will be listed under the Member's company name and must represent themselves as such.

  3. The Subsidiary will have no voting rights in the 1394 Trade Association.

  4. Any violation of Trade Association by-laws, event rules or contracts with the Trade Association may result in suspension or expulsion of the Parent Company from the 1394 Trade Association. The subsidiary is not a member in its own right, which leaves the Parent company responsible for all action on the part of the subsidiary.

  5. The Parent company will be invoiced for all monies due; yearly dues, meeting fees, trade show participation; not the subsidiary. There will be only one member contact, one billing address, and only one member marketing contact.

  6. The Subsidiary must present this statement to the Trade Association, signed by the representative from their Parent company, acknowledging the fact that the Parent company understands the guidelines as stated above, and will take full responsibility for the subsidiary per the 1394Trade Association bylaws, agreements with the 1394 Trade Association and these additional rules.

  7. The Steering Committee Board of Directors may change these rules AT ANY TIME, including the right to require unique membership for the subsidiary.

MISSION

The 1394 Trade Association actively promotes the proliferation of the IEEE 1394 Serial Bus standard technology into the computer, consumer, peripheral, and industrial markets to enable a truly interoperable, standardized, universal I/O and back plane interconnect.

The 1394 TA provides members the opportunity to achieve this mission. We organize and hold Quarterly Meetings and Developer's Conferences, and attend Tradeshows and related seminars as a means by which the members can work together on the use of IEEE 1394 to expand all target markets
